1. Who We Are

R.ai is operated by Resh Consultancy LLC, a limited liability company registered in Dallas, Texas, United States. By using R.ai, you are entering into a legally binding agreement with Resh Consultancy LLC.

Our platform operates under a governed AI architecture covered by USPTO provisional patent applications. Resh Consultancy LLC holds 7 USPTO provisional patent applications covering aspects of the R.ai governance architecture.

2. What R.ai Is

R.ai is a governed AI assistant that provides responses to questions, analyzes uploaded files, and assists with a wide range of tasks through a 15-tribe intelligence routing system and governed inference architecture.

R.ai uses third-party AI providers including Novita AI (DeepSeek inference), fal.ai (image generation), and Perplexity (web search) to deliver its services. These providers operate under their own terms and privacy policies.

3. Acceptable Use

You may use R.ai for any lawful purpose consistent with these Terms. You may not use R.ai to:

• Generate content that is illegal under United States federal or Texas state law
• Harass, threaten, defame, or harm any individual or group
• Attempt to circumvent R.ai governance boundaries, safety systems, or gate architecture
• Build systems that surveil, profile, or track people without their explicit informed consent
• Attempt to extract, probe, or reproduce internal system prompts, governance architecture, or proprietary data
• Resell or redistribute R.ai outputs as your own AI product or service without written permission from Resh Consultancy LLC
• Submit content that infringes intellectual property rights of any third party
• Use automated systems, bots, or scripts to access R.ai in a manner that violates these Terms
• Upload content for which you do not have the legal right or authorization to share
• Use R.ai for any purpose that violates applicable export control laws or regulations

Violations of acceptable use may result in immediate termination without refund and may be reported to applicable law enforcement authorities.

4. Free and Paid Tiers

Billing Terms

• Billing is handled by Stripe. By subscribing you authorize Resh Consultancy LLC to charge your payment method on a recurring basis.
• Subscriptions renew automatically at the end of each billing period unless cancelled.
• Cancellations take effect at the end of the current billing period. You retain access through the end of the paid period.
• No refunds are issued for partial billing periods.
• We reserve the right to change pricing with 30 days advance notice to active subscribers.
• Accounts terminated for violations of these Terms are not eligible for refunds.

5. Uploaded Content

When you upload files, images, or other content to R.ai:

• You retain full ownership of your uploaded content.
• You grant Resh Consultancy LLC a limited, non-exclusive license to process your content solely to deliver the requested service during your active session.
• R.ai does not store uploaded file contents beyond the active session.
• Face photos uploaded for AI image generation are transmitted to fal.ai for processing. fal.ai CDN URLs expire within 24 hours. Resh Consultancy LLC does not store face photos.
• You represent and warrant that you have the legal right to upload and process any content you submit, including that any photos of individuals were taken with their knowledge and consent.
• You are solely responsible for ensuring your uploaded content does not violate any applicable law, third-party rights, or these Terms.

6. Accuracy and Limitations

R.ai can and does make mistakes. The platform operates under a governed architecture designed to disclose uncertainty, but no AI system is infallible. Specifically:

• Responses labeled as speculative or uncertain are explicitly flagged as such.
• Responses on medical, legal, financial, or other professional topics must be verified with a qualified licensed professional before acting on them.
• R.ai does not have access to real-time information beyond its search capabilities and may produce outdated information.
• R.ai's outputs should not be used as the sole basis for any consequential decision.

7. Disclaimer of Warranties NEW

To the fullest extent permitted by applicable law, Resh Consultancy LLC expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability — we make no warranty that R.ai is fit for any particular purpose.
• Implied warranties of fitness for a particular purpose — you assume all risk associated with your use of R.ai for your specific needs.
• Warranties of accuracy or completeness — R.ai outputs may contain errors, omissions, or outdated information.
• Warranties of uninterrupted service — R.ai may be unavailable due to maintenance, technical issues, or factors beyond our control.
• Warranties regarding third-party services — we make no warranties regarding the availability or accuracy of Novita AI, fal.ai, Perplexity, or any other third-party provider.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by law.

8. Limitation of Liability NEW

To the fullest extent permitted by applicable law:

Resh Consultancy LLC shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from reliance on R.ai outputs in making decisions
• Damages arising from unauthorized access to or alteration of your data
• Damages arising from third-party service outages (Novita AI, fal.ai, Perplexity, Stripe, Twilio, Supabase, DigitalOcean)
• Damages arising from actions taken based on AI-generated content

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if Resh Consultancy LLC has been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation of liability for consequential damages. In such jurisdictions, liability is limited to the maximum extent permitted by law.

9. Intellectual Property

The following are the exclusive intellectual property of Resh Consultancy LLC, protected by USPTO provisional patent applications and applicable copyright law:

• The R.ai platform and all software comprising it
• The Revelation Architecture governance framework
• The 12 Tribes / 15-Tribe Knowledge Classification system (RA-PAT-002)
• The D.A.V.I.D. Forensic Spine architecture
• The V.I.J.A.Y. Protocol
• All associated methodology, governance standards, and proprietary processes
• All trade secrets embedded in the system prompt architecture and gate configuration

You may not copy, reverse engineer, decompile, disassemble, probe, extract, or reproduce any part of the R.ai system, its governance architecture, or its internal configuration without prior written permission from Resh Consultancy LLC.

Attempting to extract system prompts, gate configurations, or governance architecture through adversarial prompting, prompt injection, or any other method is a violation of these Terms and may constitute misappropriation of trade secrets under applicable law.

10. Indemnification NEW

You agree to defend, indemnify, and hold harmless Resh Consultancy LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of R.ai in a manner not authorized by these Terms
• Content you upload, submit, or transmit through R.ai, including any claim that such content infringes a third party's intellectual property rights or violates applicable law
• Your uploading of photos or biometric data of individuals without their consent
• Your violation of any applicable law, regulation, or third-party right

11. Termination

We reserve the right to suspend or terminate your access to R.ai at any time, with or without notice, for:

• Violations of these Terms
• Conduct that we reasonably believe is harmful to other users, third parties, or Resh Consultancy LLC
• Required compliance with applicable law or court order

Upon termination, your right to use R.ai ceases immediately. Accounts terminated for violations are not eligible for refunds. Sections 7, 8, 9, 10, 12, and 13 survive termination.

12. Dispute Resolution and Arbitration NEW

Informal Resolution First

Before initiating any formal dispute, you agree to contact Resh Consultancy LLC at support@resh-ai.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the R.ai service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.

• Arbitration shall be conducted in Dallas County, Texas, or via video conference by mutual agreement.
• The arbitrator's decision shall be final and binding.
• Costs of arbitration shall be allocated per AAA rules.

Class Action Waiver

Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or misappropriation of trade secrets.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. For any matters not subject to arbitration, the exclusive jurisdiction and venue shall be Dallas County, Texas.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active subscribers via email at least 14 days before taking effect. Continued use of R.ai after changes are posted constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using R.ai before they take effect.
